Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Zoldesk website and products (the “Services”). By using the Services, you agree to these Terms on behalf of yourself or the organization you represent. If you do not agree, do not use the Services.

Zoldesk provides a unified platform for People, Payroll, Expenses, and HR operations. We may add, change, or remove features over time to improve the Services, and we will give reasonable notice of material changes that affect how you use them.

• You must provide accurate information and keep your account credentials secure.
• You are responsible for all activity that occurs under your account.
• You must be authorized to bind your organization to these Terms.
• Notify us promptly of any unauthorized use at hello@zoldesk.com.

You agree not to misuse the Services. In particular, you will not:

• Reverse engineer, resell, or attempt to gain unauthorized access to the Services.
• Upload unlawful, infringing, or malicious content.
• Interfere with the integrity or performance of the platform.
• Use the Services to violate the rights or privacy of others.

Paid plans are billed in advance on a monthly or annual basis in Indian Rupees (INR) and are non-refundable except where required by law. Fees are exclusive of Goods and Services Tax (GST) and any other applicable taxes, which you are responsible for. Fees may change with at least 30 days’ notice. Plans renew automatically unless cancelled before the end of the current term.

Zoldesk and its licensors own all rights in the Services, including software, design, and trademarks. You retain all rights to the content you upload. You grant us a limited license to host and process that content solely to provide the Services.

Each party will protect the other’s confidential information with the same care it uses for its own, and will use it only to perform under these Terms. This obligation survives termination.

We provide the Services with reasonable skill and care. Except as expressly stated, the Services are provided “as is” without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.

To the maximum extent permitted by law, Zoldesk will not be liable for any indirect, incidental, or consequential damages, and our total liability for any claim will not exceed the fees you paid for the Services in the 12 months preceding the claim.

You may stop using the Services at any time. We may suspend or terminate access if you materially breach these Terms. On termination, your right to use the Services ends and we will make your data available for export for a limited period as described in our Privacy Policy.

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws rules. Subject to any agreed arbitration, the courts located in Bengaluru, Karnataka will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services.
